aspects of establishing a business,
including selecting the appropriate
legal structure for tax and flexibility
purposes, drafting the company’s
formation and operating agreements,
and aiding with negotiating and documenting
the relationship and rights among
the owners. In connection with forming
and acquiring a business, the firm
also assists its clients in acquiring
space for the new business, including
purchasing and leasing.

contracting and employee handbook
preparation; (ii) general contracting

A few of the projects completed
by our corporate/transactional/business
law department include the following:
• Successfully representing
a client in the sale of a chemical
company, doing multinational business,
to a public company. This sale included
the transfer of the company’s
physical assets, intellectual property
and commercial real estate. The law
firm’s pre-closing work commenced
with the negotiation and documentation
of the confidentiality agreements,
and continued through the structuring
and documentation of the non-competition
and employment agreements for the
selling principals.
• Successfully representing
a client in the acquisition of the
assets of a national air tool manufacturing
business. A new limited liability
company was established as the appropriate
tax planning and working entity to
acquire the assets, including machinery
and intellectual property rights.
• Providing every day consulting
services to a national real estate
company, including contracting with
service providers (both national
and local), such as telecommunications/cable
television providers and laundry
and vending providers. The law firm
also represents both lessors and
lessees in negotiating and documenting
commercial leases.
LENDER REPRESENTATION
The firm regularly represents lending
institutions with respect to commercial
real estate, asset-based and professional
service company lending. Strauss & Malk
LLP has aided lenders in documenting
and closing the following loan transactions:
• Successfully representing
the professional service department
of a national lending institution
in small and multi-million dollar
loans to their customers for: (i)
the acquisition of dental practices
and medical facilities, including
multi-state offices; and (ii) the
acquisition of medical professional
groups, office buildings for their
practices and providing working capital
loans.
• Successfully representing
a national lender in connection with
providing both construction loan
and subsequent permanent loan financing
for the development of the office
facilities required to operate borrower’s
businesses.
